TRADEMARKLICENSINGAGREEMENT

Agreementmadethis___________dayof______________,between
___________(hereinaftercalled"Licensor"),and________(hereinafter
called"Licensee"):
WITNESSETH

WhereasLicensorownscertainvaluableregisteredtrademarksand
servicemarks,andownsandhasmerchandisingrightstovariousother
Licensorpropertiesasdefinedinparagraph1oftheRiderattachedhereto
andherebymadeaparthereof(hereinaftercalled"Name"),saidName
havingbeenusedoverthefacilitiesofnumerousstationsinradioand/or
televisionbroadcastinginalliedfields,andinpromotionaland
advertisingmaterialindifferentbusinessesandbeingwellKnownand
recognizedbythegeneralpublicandassociatedinthepublicmindwith
Licensor,and
WhereasLicenseedesirestoutilizetheNameuponandinconnection
withthemanufacture,saleanddistributionofarticleshereinafter
described,
Now,Therefore,inconsiderationofthemutualpromisesherein
contained,itisherebyagreed:

1GrantofLicense

(a)Articles
Uponthetermsandconditionshereinaftersetforth,Licensorhereby
grantstoLicenseeasarelatedcompany,andLicenseeherebyacceptsthe
right,licenseandprivilegeofutilizingtheNamesolelyandonlyupon
andinconnectionwiththemanufacture,saleanddistributionofthe
followingarticles.

(b)Territory
Thelicenseherebygrantedextendsonlyto________________.Licensee
agreesthatitwillnotmake,orauthorize,anyuse,directorindirect,
oftheNameinanyotherarea,andthatitwillnotknowinglysell
articlescoveredbythisagreementtopersonswhointendorarelikelyto
reselltheminanyotherarea.
(c)Term
Thetermofthelicenseherebygrantedshallbeeffectiveonthe
_______dayof____________andshallcontinueuntilthe_______dayof
__________,unlesssoonerterminatedinaccordancewiththeprovisions
hereof.Thetermofthislicensemaybeautomaticallyrenewedfromyearto
yearuponallthetermsandconditionscontainedherein,withthefinal
renewaltoexpireonDecember31st,____________.Attheendofeachterm,
beginningwithDecember31st,________________,thislicenseshallbe
automaticallyrenewedforaoneyeartermexpiringDecember31stofthe
followingyear,unlesseitherpartyheretoshallbegivenwrittennotice
tothecontraryatleastthirty(30)dayspriortotheexpirationdate.

2TermsofPayment

(a)Rate
LicenseeagreestopaytoLicensorasroyaltyasumequalto
__________percentofallnetsalesbyLicenseeoranyofitsaffiliated,
associatedorsubsidiarycompaniesofthearticlescoveredbythis
agreement.Theterm"netsales"shallmeangrosssaleslessquantity
discountsandreturns,butnodeductionshallbemadeforcashorother
discountsoruncollectibleaccounts.Nocostsincurredinthemanufacture,
sale,distributionorexploitationofthearticlesshallbedeductedfrom
anyroyaltypayablebyLicensee.Licenseeagreesthatintheeventit
shouldpayanyotherLicensorahigherroyaltyorlicensingrateor
commissionthanthatprovidedhereinfortheuseoftheName,thansaid
higherrateshallautomaticallyandimmediatelyapplytothiscontract.
(b)MinimumRoyalties
LicenseeagreestopaytoLicensoraminimumroyaltyof
___________Dollars($______)asaminimumguaranteeagainstroyaltiesto
bepaidtoLicensorduringthefirstcontractterm,saidminimumroyalty
tobepaidonorbeforethelastdayoftheinitialtermhereof.The
advancesumof______________dollars($__________)paidonthesigning
hereofshallbeappliedagainstsuchguarantee.Nopartofsuchminimum
royaltyshallinanyeventberepayabletoLicensee.
(c)PeriodicStatements
Within_________daysaftertheinitialshipmentofthearticles
coveredbythisagreement,andpromptlyonthe_________________ofeach
calendar__________thereafter,LicenseeshallfurnishtoLicensor
completeandaccuratestatementscertifiedtobeaccuratebyLicensee
showingthenumber,descriptionandgrosssalesprice,itemizeddeductions
fromgrosssalespriceandnetsalespriceofthearticlescoveredbythis
agreementdistributedand/orsoldbyLicenseeduringthepreceding
calendar____________,togetherwithanyreturnsmadeduringthepreceding
calendar___________Forthispurpose,Licenseeshallusethestatement
formattachedhereto,copiesofwhichformmaybeobtainedbyLicensee
fromLicensor.SuchstatementsshallbefurnishedtoLicensorwhetheror
notanyofthearticleshavebeensoldduringtheprecedingcalendar

(d)Royaltypayments
Royaltiesinexcessoftheaforementionedminimumroyaltyshallbedue
onthe___________dayofthe____________followingthecalendar
_____________inwhichearned,andpaymentshallaccompanythestatements
furnishedasrequiredabove.ThereceiptoracceptancebyLicensorofany
ofthestatementsfurnishedpursuanttothisagreementorofanyroyalties
paidhereunder(orthecashingofanyroyaltycheckspaidhereunder)shall
notprecludeLicensorfromquestioningthecorrectnessthereofatany
time,andintheeventthatanyinconsistenciesormistakesarediscovered
insuchstatementsorpayments,theyshallimmediatelyberectifiedand
theappropriatepaymentmadebyLicensee.Paymentshallbein
_______________.Domestictaxespayableinthelicensedterritoryshallbe
payablebyLicensee.

3Exclusivity

(a)NothinginthisagreementshallbeconstruedtopreventLicensor
fromgrantinganyotherlicensesfortheuseoftheNameorfromutilizing
theNameinanymannerwhatsoever,exceptthatLicensoragreesthatexcept
asprovidedhereinitwillgrantnootherlicensesfortheterritoryto
whichthislicenseextendseffectiveduringthetermofthisagreement,
fortheuseoftheNameinconnectionwiththesaleofthearticles
describedinparagraph1.
(b)ItisagreedthatifLicensorshouldconveyanoffertoLicensee
topurchaseanyofthearticleslistedinparagraph1,inconnectionwith
apremium,giveawayorotherpromotionalarrangement,Licenseeshallhave
_______dayswithinwhichtoacceptorrejectsuchanoffer.Intheevent
thatLicenseefailstoacceptsuchofferwithinthespecified_______
days,Licensorshallhavetherighttoenterintotheproposedpremium,
giveawayorpromotionalarrangementusingtheservicesofanother
manufacturer,provided,however,thatinsucheventLicenseeshallhavea
three(3)dayperiodwithinwhichtomeetthebestofferofsuch
manufacturerfortheproductionofsucharticlesifthepriceofsuch
manufacturerishigherthanthepriceofferedtoLicenseebyLicensor.
Licenseeagreesthatitshallnot,withoutthepriorwrittenconsentof
Licensor,(i)offerthearticlesasapremiuminconnectionwithanyother
productorservice,or(ii)sellordistributethearticlesinconnection
withanotherproductorservicewhichproductorserviceisapremium.

4GoodWill

Licenseerecognizesthegreatvalueofthegoodwillassociatedwith
theName,andacknowledgesthattheNameandallrightsthereinandgood
willpertainingtheretobelongexclusivelytoLicensor,andthattheName
hasasecondarymeaninginthemindofthepublic.

5Licensor’sTitleandProtectionofLicensor’sRights

(a)Licenseeagreesthatitwillnotduringthetermofthis
agreement,orthereafter,attackthetitleoranyrightsofLicensorin
andtotheNameorattackthevalidityofthislicense.Licensorhereby
indemnifiesLicenseeandundertakestoholditharmlessagainstanyclaims
orsuitsarisingsolelyoutoftheusebyLicenseeoftheNameas
authorizedinthisagreement,providedthatpromptnoticeisgivento
Licensorofanysuchclaimorsuitandprovided,further,thatLicensor
shallhavetheoptiontoundertakeandconductthedefenseofanysuitso
broughtandnosettlementofanysuchclaimorsuitismadewithoutthe
priorwrittenconsentofLicensor.

(b)LicenseeagreestoassistLicensortotheextentnecessaryinthe
procurementofanyprotectionortoprotectanyofLicensor’srightsto
theName,andLicensor,ifitsodesiresmaycommenceorprosecuteany
claimsorsuitsinitsownnameorinthenameoflicenseeorjoin
Licenseeasapartythereto.LicenseeshallnotifyLicensorinwritingof
anyinfringementsorimitationsbyothersintheNameonarticlesthesame
asorsimilartothosecoveredbythisagreementwhichmaycometo
Licensee’sattention,andLicensorshallhavethesolerighttodetermine
whetherornotanyactionshallbetakenonaccountofanysuch
infringementsorimitations.Licenseeshallnotinstituteanysuitortake
anyactiononaccountofanysuchinfringementsorimitationswithout
firstobtainingthewrittenconsentoftheLicensorsotodo.

6IndemnificationbyLicenseeandProductLiabilityInsurance

LicenseeherebyindemnifiesLicensorandundertakestodefendLicensee
and/orLicensoragainstandholdLicensorharmlessfromanyclaims,suits,
lossanddamagearisingoutofanyallegedlyunauthorizeduseofany
trademark,patent,process,idea,methodordevicebyLicenseein
connectionwiththearticlescoveredbythisagreementoranyother
allegedactionbyLicenseeandalsofromanyclaims,suits,lossand
damagearisingoutofallegeddefectsinthearticles.Licenseeagrees
thatitwillobtain,atitsownexpense,productliabilityinsurancefrom
arecognizedinsurancecompanywhichhasqualifiedtodobusinessin
____________,providingadequateprotection(atleastintheamountof
_______)forLicensor(aswellforLicensee)againstanyclaims,suits,
lossordamagearisingoutofanyallegeddefectsinthearticles.As
proofofsuchinsurance,afullypaidcertificateofinsurancenaming
LicensorasaninsuredpartywillbesubmittedtoLicensorbyLicenseefor
Licensor’spriorapprovalbeforeanyarticleisdistributedorsold,and
atthelatestwithin______daysafterthedatefirstwrittenabove;any
proposedchangeincertificatesofinsuranceshallbesubmittedto
Licensorforitspriorapproval.Licensorshallbeentitledtoacopyof
thethenprevailingcertificateofinsurance,whichshallbefurnished
LicensorbyLicensee.AsUsedinthefirst2sentencesofthisparagraph
6,"Licensor"shallalsoincludetheofficers,directors,agents,and
employeesoftheLicensor,oranyofitssubsidiariesoraffiliates,any
person(s)theuseofwhosenamemaybelicensedhereunder,thepackage
producerandthecastoftheradioand/ortelevisionprogramwhosename
maybelicensedhereunder,thestationsoverwhichtheprogramsare
transmitted,anysponsorofsaidprogramsanditsadvertisingagency,and
theirrespectiveofficers,directors,agentsandemployees.

7QualityofMerchandise

Licenseeagreesthatthearticlescoveredbythisagreementshallbe
ofhighstandardandofsuchstyle,appearanceandqualityastobe
adequateandsuitedtotheirexploitationtothebestadvantageandtothe
protectionandenhancementoftheNameandthegoodwillpertaining
thereto,thatsucharticleswillbemanufactured,soldanddistributedin
accordancewithallapplicableFederal,Stateandlocallaws,andthatthe
sameshallnotreflectadverselyuponthegoodnameofLicensororanyof
itsprogramsortheName.TothisendLicenseeshall,beforesellingor
distributinganyofthearticles,furnishtoLicensorfreeofcost,for
itswrittenapproval,areasonablenumberofsamplesofeacharticle,its
cartons,containersandpackingandwrappingmaterial.Thequalityand
styleofsucharticlesaswellasofanycarton,containerorpackingor
wrappingmaterialshallbesubjecttotheapprovalofLicensor.Anyitem
submittedtoLicensorshallnotbedeemedapprovedunlessanduntilthe
sameshallbeapprovedbyLicensorinwriting.Aftersampleshavebeen
approvedpursuanttothisparagraph,Licenseeshallnotdeparttherefrom
inanymaterialrespectwithoutLicensor’spriorwrittenconsent,and
Licensorshallnotwithdrawitsapprovaloftheapprovedsamplesexcepton
_______days’priorwrittennoticetoLicensee.Fromtimetotimeafter
LicenseehascommencedsellingthearticlesanduponLicensor’swritten
request,LicenseeshallfurnishwithoutcosttoLicensornotmorethan
additionalrandomsamplesofeacharticlebeingmanufacturedandsoldby
Licenseehereunder,togetherwithanycartons,containersandpackingand
wrappingmaterialusedinconnectiontherewith.

8Labeling

(a)Licenseeagreesthatitwillcausetoappearonorwithineach
articlesoldbyitunderthislicenseandonorwithinalladvertising,
promotionalordisplaymaterialbearingtheNamethenotice"Copyright(c)
____________(year)"inconnectionwithNameproperties(e)and(f)in
Rider,paragraph1,andanyothernoticedesiredbyLicensorand,where
sucharticleoradvertising,promotionalordisplaymaterialbearsa
trademarkorservicemark,appropriatestatutorynoticeofregistrationor
applicationforregistrationthereof.Intheeventthatanyarticleis
marketedinacarton,containerand/orpackingorwrappingmaterial
bearingtheName,suchnoticeshallalsoappearuponthesaidcarton,
containerand/orpackingorwrappingmaterial.Eachandeverytag,label,
imprintorotherdevicecontaininganysuchnoticeandalladvertising,
promotionalordisplaymaterialbearingtheNameshallbesubmittedby
LicensorforitswrittenapprovalpriortousebyLicensee.Approvalby
LicensorshallnotconstitutewaiverofLicensor’srightsorLicensee’s
dutiesunderanyprovisionofthisagreement.

(b)LicenseeagreestocooperatefullyandingoodfaithwithLicensor
forthepurposeofsecuringandpreservingLicensor’s(oranygrantorof
Licensor’s)rightsinandtotheName.Intheeventtherehasbeenno
previousregistrationoftheNameand/orarticlesand/oranymaterial
relatingthereto,Licenseeshall,atLicensor’srequestandexpense,
registersuchacopyright,trademarkand/orservicemarkinthe
appropriateclassinthenameofLicensoror,ifLicensorsorequests,in
Licensee’sownname.However,itisagreedthatnothingcontainedinthis
agreementshallbeconstruedasanassignmentorgranttotheLicenseeof
anyright,titleorinterestinortotheName,itbeingunderstoodthat
allrightsrelatingtheretoarereservedbyLicensor,exceptforthe
licensehereundertoLicenseeoftherighttouseandutilizetheName
onlyasspecificallyandexpresslyprovidedinthisagreement.Licensee
herebyagreesthatattheterminationorexpirationofthisagreement
Licenseewillbedeemedtohaveassigned,transferredandconveyedto
Licensoranyrights,equities,goodwill,titlesorotherrightsinandto
theNamewhichmayhavebeenobtainedbyLicenseeorwhichmayhavevested
inLicenseeinpursuanceofanyendeavorscoveredhereby,andthat
LicenseewillexecuteanyinstrumentsrequestedbyLicensortoaccomplish
orconfirmtheforegoing.Anysuchassignment,transferorconveyance
shallbewithoutotherconsiderationthanthemutualcovenantsand
considerationsofthisagreement.

(c)Licenseeherebyagreesthatitseveryuseofsuchnameshallinure
tothebenefitofLicensorandthatLicenseeshallnotatanytimeacquire
anyrightsinsuchnamebyvirtueofanyuseitmaymakeofsuchname.

9PromotionalMaterial

(a)InallcaseswhereLicenseedesiresartworkinvolvingarticles
whicharethesubjectofthislicensetobeexecuted,thecostofsuch
artworkandthetimefortheproductionthereofshallbeborneby
Licensee.AllartworkanddesignsinvolvingtheName,oranyreproduction
thereof,shall,notwithstandingtheirinventionorusebyLicensee,beand
remainthepropertyofLicensorandLicensorshallbeentitledtousethe
sameandtolicensetheuseofthesamebyothers.

(b)Licensorshallhavetheright,butshallnotbeunderany
obligation,tousetheNameand/orthenameofLicenseesoastogivethe
Name,Licensee,Licensorand/orLicensor’sprogramsfullandfavorable
prominenceandpublicity.Licensorshallnotbeunderanyobligation
whatsoevertocontinuebroadcastinganyradioortelevisionprogramoruse
theNameoranyperson,character,symbol,designorlikenessorvisual
representationthereofinanyradioortelevisionprogram.

(c)Licenseeagreesnottoofferforsaleoradvertiseorpublicize
anyofthearticleslicensedhereunderonradioortelevisionwithoutthe
priorwrittenapprovalofLicensor,whichapprovalLicensormaygrantor
withholdinitsunfettereddiscretion.

10Distribution

(a)Licenseeagreesthatduringthetermofthislicenseitwill
diligentlyandcontinuouslymanufacture,distributeandsellthearticles
coveredbythisagreementandthatitwillmakeandmaintainadequate
arrangementforthedistributionofthearticles.

(b)Licenseeshallnot,withoutpriorwrittenconsentofLicensor,
sellordistributesucharticlestojobbers,wholesalers,distributors,
retailstoresormerchantswhosesalesordistributionareorwillbemade
forpublicityorpromotionaltie-inpurposes,combinationsales,premiums,
giveaways,orsimilarmethodsofmerchandising,orwhosebusinessmethods
arequestionable.

(c)LicenseeagreestoselltoLicensorsuchquantitiesofthe
articlesataslowarateandonasgoodtermsasLicenseesellssimilar
quantitiesofthearticlestothegeneraltrade.

11Records

Licenseeagreestokeepaccuratebooksofaccountandrecordscovering
alltransactionsrelatingtothelicenseherebygranted,andLicensorand
itsdulyauthorizedrepresentativesshallhavetherightatallreasonable
hoursofthedaytoanexaminationofsaidbooksofaccountandrecords
andofallotherdocumentsandmaterialsinthepossessionorunderthe
controlofLicenseewithrespecttothesubjectmatterandtermsofthis
agreement,andshallhavefreeandfullaccesstheretoforsaidpurposes
andforthepurposeofmakingextractstherefrom.UpondemandofLicensor,
LicenseeshallatitsownexpensefurnishtoLicensoradetailedstatement
byanindependentcertifiedpublicaccountantshowingthenumber,
description,grosssalesprice,itemizeddeductionsfromgrosssalesprice
andnetsalepriceofthearticlescoveredbythisagreementdistributed
and/orsoldbyLicenseetothedateofLicensor’sdemand.Allbooksof
accountandrecordsshallbekeptavailableforatleast__________years
aftertheterminationofthislicense.

12Bankruptcy,Violation,etc.

(a)IfLicenseeshallnothavecommencedingoodfaithtomanufacture
anddistributeinsubstantialquantitiesallthearticleslistedin
paragraph1within________monthsafterthedateofthisagreementorif
atanytimethereafterinanycalendarmonthLicenseefailstosellanyof
thearticles(oranyclassorcategoryofthearticles),Licensorin
additiontoallotherremediesavailabletoithereundermayterminate
thislicensewithrespecttoanyarticlesorclassorcategorythereof
whichhavenotbeenmanufacturedanddistributedduringsuchmonth,by
givingwrittennoticeofterminationtoLicensee.Suchnoticeshallbe
effectivewhenmailedbyLicensor.

(b)IfLicenseefilesapetitioninbankruptcyorisadjudicateda
bankruptorifapetitioninbankruptcyisfiledagainstLicenseeorifit
becomesinsolvent,ormakesanassignmentforthebenefitofitscreditors
oranarrangementpursuanttoanybankruptcylaw,orifLicensee
discontinuesitsbusinessorifareceiverisappointedforitorits
business,thelicenseherebygrantedshallautomaticallyterminate
forthwithwithoutanynoticewhatsoeverbeingnecessary.Intheeventthis
licenseissoterminated,Licensee,itsreceivers,representatives,
trustees,agents,administrator,successorsand/orassignsshallhaveno
righttosell,exploitorinanywaydealwithorinanyarticlescovered
bythisagreementoranycarton,container,packingorwrappingmaterial,
advertising,promotionalordisplaymaterialpertainingthereto,except
withandunderthespecialconsentandinstructionsofLicensorin
writing,whichtheyshallbeobligatedtofollow.

(c)IfLicenseeshallviolateanyofitsotherobligationsunderthe
termsofthisagreement,Licensorshallhavetherighttoterminatethe
licenseherebygrantedupon______days’noticeinwriting,andsuch
noticeofterminationshallbecomeeffectiveunlessLicenseeshall
completelyremedytheviolationwithinthe______dayperiodandsatisfy
Licensorthatsuchviolationhasbeenremedied.

(d)Terminationofthelicenseundertheprovisionsofparagraph12
shallbewithoutprejudicetoanyrightswhichLicensormayotherwisehave
againstLicensee.Upontheterminationofthislicense,notwithstanding
anythingtothecontraryherein,allroyaltiesonsalestheretoforemade
shallbecomeimmediatelydueandpayableandnominimumroyaltiesshallbe
repayableoravoidable.

13SponsorshipbyCompetitiveProduct

Intheeventthatanyofthearticleslistedinparagraph1conflicts
withanyproductofapresentorfuturesponsorofaprogramonwhichthe
Nameappearsorisused,orwithanyproductofasubsidiaryoraffiliate
ofsuchsponsor,thenLicensorshallhavetherighttoterminatethis
agreementastosucharticleorarticlesbywrittennoticetoLicensee
effectivenotlessthan_______daysafterthedatesuchnoticeisgiven.
Intheeventofsuchtermination,Licenseeshallhave________daysafter
theeffectivedateofsuchterminationtodisposeofallofsucharticles
onhandorinprocessofmanufacturepriortosuchnotice,inaccordance
withtheprovisionsofparagraph15.However,intheeventsuch
terminationiseffectiveastoallthearticlessubjecttothisagreement
andtheadvanceguaranteeforthethencurrentyearhasnotbeenfully
accountedforbyactualroyaltiesbytheendofthe_______disposal
period,LicensorshallrefundtoLicenseethedifferencebetweenthe
advanceguaranteewhichhasbeenpaidforsuchcontractyearandthe
actualroyalties.Therefundprovisioncontainedintheprecedingsentence
pertainsonlytoterminationoccurringpursuanttothisparagraph13,and
shallnotaffecttheapplicabilityofanyotherparagraphtosuch
terminationexceptasexpresslycontradictedherein.

14FinalStatementUponTerminationorExpiration

______daysbeforetheexpirationofthislicenseand,intheeventof
itstermination,______daysafterreceiptofnoticeofterminationorthe
happeningoftheeventwhichterminatesthisagreementwherenonoticeis
required,astatementshowingthenumberanddescriptionofarticles
coveredbythisagreementonhandorinprocessshallbefurnishedby
LicenseetoLicensor.Licensorshallhavetherighttotakeaphysical
inventorytoascertainorverifysuchinventoryandstatement,andrefusal
byLicenseetosubmittosuchphysicalinventorybyLicensorshallforfeit
Licensee’srighttodisposeofsuchinventory,Licensorretainingall
otherlegalandequitablerightsLicensormayhaveinthecircumstances.

15DisposalofStockUponTerminationorExpiration

Afterterminationofthelicenseundertheprovisionsofparagraph12,
Licensee,exceptasotherwiseprovidedinthisagreement,maydisposeof
articlescoveredbythisagreementwhichareonhandorinprocessatthe
timenoticeofterminationisreceivedforaperiodof________daysafter
noticeoftermination,providedadvancesandroyaltieswithrespectto
thatperiodarepaidandstatementsarefurnishedforthatperiodin
accordancewithparagraph2.Notwithstandinganythingtothecontrary
herein,Licenseeshallnotmanufacture,sellordisposeofanyarticles
coveredbythislicenseafteritsexpirationoritsterminationbasedon
thefailureofLicenseetoaffixnoticeofcopyright,trademarkorservice
markregistrationoranyothernoticetothearticles,cartons,
containers,orpackingorwrappingmaterialoradvertising,promotionalor
displaymaterial,orbecauseofthedeparturebyLicenseefromthequality
andstyleapprovedbyLicensorpursuanttoparagraph7.

16EffectofTerminationorExpiration

Uponandaftertheexpirationorterminationofthislicense,all
rightsgrantedtoLicenseehereundershallforthwithreverttoLicensor,
whoshallbefreetolicenseotherstousetheNameinconnectionwiththe
manufacture,saleanddistributionofthearticlescoveredherebyand
LicenseewillrefrainfromfurtheruseoftheNameoranyfurther
referencetoit,directorindirect,oranythingdeemedbyLicensortobe
similartotheNameinconnectionwiththemanufacture,saleor
distributionofLicensee’sproducts,exceptasprovidedinparagraph15.

17Licensor’sRemedies

(a)Licenseeacknowledgesthatitsfailure(exceptasotherwise

insubstantialquantitiesanyoneormoreofthearticleslistedin
paragraph1within______monthsafterthedateofthisagreementandto
continueduringthetermhereoftodiligentlyandcontinuously
manufacture,distributeandsellthearticlescoveredbythisagreementor
anyclassorcategorythereofwillresultinimmediatedamagesto
Licensor.

(b)Licenseeacknowledgesthatitsfailure(exceptasotherwise
providedherein)toceasethemanufacture,saleordistributionofthe
articlescoveredbythisagreementoranyclassorcategorythereofatthe
terminationorexpirationofthisagreementwillresultinimmediateand
irremediabledamagetoLicensorandtotherightsofanysubsequent
licensee.Licenseeacknowledgesandadmitsthatthereisnoadequate
remedyatlawforsuchfailuretoceasemanufacture,saleordistribution,
andLicenseeagreesthatintheeventofsuchfailureLicensorshallbe
entitledtoequitablereliefbywayoftemporaryandpermanentinjunctions
andsuchotherfurtherreliefasanycourtwithjurisdictionmaydeemjust
andproper.

(c)Resorttoanyremediesreferredtohereinshallnotbeconstrued
asawaiverofanyotherrightsandremediestowhichLicensorisentitled
underthisagreementorotherwise.

18ExcuseForNonperformance

Licenseeshallbereleasedfromitsobligationshereunderandthis
licenseshallterminateintheeventthatgovernmentalregulationsor
othercausesarisingoutofastateofnationalemergencyorwarorcauses
beyondthecontrolofthepartiesrenderperformanceimpossibleandone
partysoinformstheotherinwritingofsuchcausesanditsdesiretobe
soreleased.Insuchevents,allroyaltiesonsalestheretoforemadeshall
becomeimmediatelydueandpayableandnominimumroyaltiesshallbe
repayable.

19Notices

Allnoticesandstatementstobegiven,andallpaymentstobemade
hereunder,shallbegivenormadeattherespectiveaddressesofthe
partiesassetforthaboveunlessnotificationofachangeofaddressis
giveninwriting,andthedateofmailingshallbedeemedthedatethe
noticeorstatementisgiven.

20NoJointVenture

Nothinghereincontainedshallbeconstruedtoplacethepartiesin
therelationshipofpartnersorjointventurers,andLicenseeshallhave
nopowertoobligateorbindLicensorinanymannerwhatsoever.

21NoAssignmentorSublicensebyLicensee

Thisagreementandallrightsanddutieshereunderarepersonalto
Licenseeandshallnot,withoutthewrittenconsentofLicensor,be
assigned,mortgaged,sublicensedorotherwiseencumberedbyLicenseeorby
operationoflaw.

Licensormayassignbutshallfurnishwrittennoticeofassignment.

22NoWaiver,etc.

Noneofthetermsofthisagreementcanbewaivedormodifiedexcept
byanexpressagreementinwritingsignedbybothparties.Thereareno
representations,promises,warranties,covenantsorundertakingsother
thanthosecontainedinthisagreement,whichrepresentstheentire
understandingoftheparties.Thefailureofeitherpartyheretoto
enforce,orthedelaybyeitherpartyinenforcing,anyofitsrights
underthisagreementshallnotbedeemedacontinuingwaiverora
modificationthereofandeitherpartymay,withinthetimeprovidedby
applicablelaw,commenceappropriatelegalproceedingtoenforceanyor
allofsuchrights.Noperson,firm,grouporcorporation(whether
includedintheNameorotherwise)otherthanLicenseeandLicensorshall
bedeemedtohaveacquiredanyrightsbyreasonofanythingcontainedin
thisagreement,exceptasprovidedinparagraphs6and21.
Inwitnesswhereof,thepartieshavecausedthisinstrumenttobeduly
executedasofthedayandyearfirstabovewritten.
